OVERVIEW

Welcome to Banna Eyewear.

These Terms of Service ("Terms") govern your use of our website and purchases made through bannaeyewear.com.

The terms "Banna Eyewear", "we", "us" and "our" refer to Banna Eyewear Ltd.

We operate an online eyewear business offering optical frames, sunglasses, prescription lenses and related products and services, including reglazing suitable customer-owned frames.

Our website is powered by Shopify, which provides the e-commerce platform used to operate our online store.

Please read these Terms carefully before placing an order.

These Terms should be read alongside our Return and Refund Policy, Shipping Policy and Privacy Policy.

Nothing in these Terms excludes or limits your statutory consumer rights or any other rights that cannot lawfully be restricted.

SECTION 1 – ACCESS AND ACCOUNT

You must be legally capable of entering into a purchase contract. Customers under 18 should place orders through a parent, guardian or other adult legally authorised to purchase on their behalf.

Additional restrictions apply to prescription eyewear, as explained in Section 4.

When placing an order or creating an account, you agree to provide accurate, current and complete information, including contact, payment and delivery details.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account, except where responsibility arises from circumstances outside your control or from our failure to meet applicable legal obligations.

Please notify us promptly if you suspect unauthorised access to your account.

We may suspend access where reasonably necessary to protect the security or lawful operation of our website.

SECTION 2 – OUR PRODUCTS

We take reasonable care to ensure that product descriptions, specifications, photographs and prices are accurate.

However, product colours and appearance may vary slightly depending on screen settings, lighting and the device used to view our website.

Measurements and dimensions displayed on product pages are provided to assist customers in selecting suitable eyewear.

Minor variations that do not materially affect a product's conformity with its description or agreed specifications may occur.

All products supplied must meet applicable legal requirements, including requirements concerning satisfactory quality, fitness for purpose and conformity with their descriptions.

Products are subject to availability. We may discontinue products or change their descriptions and prices for future orders without notice.

If a product becomes unavailable after an order has been placed, we will contact you to arrange an acceptable alternative or provide an appropriate refund.

We may decline to supply a product where its sale would breach applicable regulations, safety requirements or restrictions in the destination country.

SECTION 3 – ORDERS AND CONTRACT FORMATION

3.1 Placing an Order

By placing an order, you offer to purchase the selected goods or services at the prices and on the terms displayed at checkout.

An automated acknowledgement confirms that we have received your order but does not necessarily mean that it has been accepted.

A contract is formed when we expressly confirm acceptance of your order or dispatch the goods, whichever occurs first.

Payment authorisation or collection does not, by itself, remove our ability to reject an order before acceptance.

3.2 Order Verification

We may request additional information to verify payment, prescription details, delivery information or product suitability.

Where necessary, we may delay acceptance or processing while verification is completed.

3.3 Orders We Cannot Fulfil

We may decline or cancel an order for legitimate reasons, including:

  • Product unavailability.

  • Incomplete or inaccurate order information.

  • Payment authorisation failure.

  • Inability to verify required prescription information.

  • Safety or regulatory restrictions.

  • An obvious pricing or product-description error identified before acceptance.

  • Reasonable suspicion of fraud or unlawful activity.

Where we do not accept or cannot fulfil an order, we will notify you and refund payments received for the affected items without undue delay.

We will not substitute a materially different product or increase an agreed price without your consent.

3.4 Changes and Cancellations

If you wish to change or cancel an order, please contact us as soon as possible.

Standard non-customised products may be subject to statutory cancellation rights.

Prescription lenses and other genuinely custom-made products are subject to the provisions of Section 4 and our Return and Refund Policy.

Nothing in this section restricts your statutory rights to cancel, reject or obtain a remedy.

SECTION 4 – PRESCRIPTION LENS ORDERS

4.1 Eligibility and Prescription Requirements

Banna Eyewear offers prescription glazing and related services subject to applicable UK optical regulations and safety requirements.

Our standard online prescription service is intended for wearers who:

  • Are aged 16 or over.

  • Are not registered as sight impaired or severely sight impaired.

  • Hold a valid written prescription issued following a sight examination by an appropriately qualified eye-care practitioner.

  • Provide the information and measurements required for their selected lenses.

For prescriptions dispensed through our standard online service without registered professional supervision, the prescription must be dated within the preceding two years.

Prescription eyewear for children under 16 or people registered as sight impaired or severely sight impaired requires additional professional supervision and is not available through our standard unsupervised online prescription-ordering process.

Banna Eyewear reserves the right to decline any prescription order that cannot be safely or appropriately fulfilled through our online service.

4.2 Prescription Submission, Accuracy and Verification

Customers may submit their prescription by uploading a copy or entering the prescription details manually.

Before proceeding to lens selection, customers must confirm through a mandatory checkbox that:

  • Their prescription is valid and no more than two years old.

  • The prescription information supplied is correct, including the positive (+) and negative (−) signs for SPH and CYL values.

  • They are aged 16 or over.

  • They are not registered as sight impaired or severely sight impaired.

  • They have read and agreed to Banna Eyewear's Terms of Service, accessible through the link provided during ordering.

Customers must provide complete and accurate prescription information, including, where applicable:

  • Sphere (SPH).

  • Cylinder (CYL).

  • Axis.

  • Addition (ADD).

  • Prism and base direction.

  • Pupillary distance (PD).

  • Any additional measurements needed for the selected lenses.

Customers are responsible for entering their prescription and measurement information accurately.

Banna Eyewear reserves the right to request a copy of the original prescription for verification before processing an order.

If requested information cannot be provided within a reasonable period, we may be unable to proceed and may cancel the affected order and refund any payment due.

Customers are responsible for errors in information they supply, where those errors cause the problem and Banna Eyewear has not failed to meet an applicable legal or professional obligation.

Banna Eyewear remains responsible for exercising reasonable care and skill in checking and processing orders and for supplying goods that conform to the contract and applicable law.

4.3 Measurements and Suitability

Certain lenses, particularly varifocal, bifocal, office and specialist lenses, require measurements beyond a standard prescription.

These may include PD, fitting height, frame dimensions and other fitting measurements relevant to the chosen lens design.

Where a measurement is missing, inconsistent or unsuitable, we may request further information or recommend obtaining measurements from a qualified optical professional.

Virtual try-on or digital measurement tools are provided to assist customers. Their suitability and accuracy depend on correct use and the limitations of the technology.

We do not guarantee that every measurement can be obtained reliably using an online tool.

We will not knowingly proceed with a prescription order where essential measurements or safety requirements cannot reasonably be established.

4.4 Custom-Made Prescription Lenses and Cancellations

Prescription lenses manufactured or glazed to an individual's prescription and measurements are generally considered custom-made goods.

Under Regulation 28(1)(b) of the Consumer Contracts Regulations 2013, genuinely personalised goods are normally exempt from the standard change-of-mind cancellation right.

This generally applies to:

  • Individually manufactured prescription lenses.

  • Prescription lenses fitted into new frames.

  • Prescription lenses manufactured for customer-owned frames.

  • Other products genuinely manufactured to individual specifications.

These products are therefore not normally eligible for change-of-mind returns or refunds.

If you wish to change or cancel a prescription order, please contact us immediately.

We will consider whether manufacturing or glazing can be stopped or amended. Where we agree to cancel an order, we will explain the agreed refund arrangements.

Once manufacture or glazing has commenced, changes may not be possible.

The custom-made exemption does not affect your statutory rights where goods are faulty, incorrectly manufactured, not as described or otherwise fail to comply with applicable law.

Standard products do not become automatically exempt from statutory cancellation rights merely because they were specially ordered.

4.5 Manufacturing, Glazing and Quality Control

Prescription lenses are manufactured and glazed by our UK-based optical laboratory partner.

Banna Eyewear remains responsible for fulfilling customer orders and ensuring compliance with applicable consumer protection requirements.

Normal processing times are approximately 3–7 working days before dispatch, although complex prescriptions, specialist lenses and particular frame requirements may require additional time.

These periods are estimates rather than guaranteed delivery dates unless expressly agreed otherwise.

We will take reasonable steps to inform customers of material delays.

Orders are subject to appropriate manufacturing and quality-control procedures.

Prescription accuracy, lens positioning and other relevant specifications will be assessed against applicable standards and the agreed order requirements.

Industry tolerances do not exclude a customer's statutory rights where goods fail to conform to the contract.

4.6 Customer-Owned Frames and Reglazing

Customers may provide their own frames for reglazing, subject to a suitability assessment.

Frames must be reasonably suitable for lens removal and fitting.

Older, previously worn, delicate or repaired frames may have hidden weaknesses, material deterioration or structural defects that increase the risk of damage.

We and our laboratory partner will exercise reasonable care and skill when handling customer-owned frames.

If we identify a material concern about suitability, we may contact you to discuss the risks, available alternatives or cancellation of the reglazing service.

We may decline to glaze frames that we reasonably consider unsafe or unsuitable.

Where damage occurs solely because of a pre-existing weakness or inherent defect despite the exercise of reasonable care, we may not be responsible for that damage.

However, we do not exclude liability where damage results from our failure, or that of those performing the service on our behalf, to exercise reasonable care and skill.

Customers should package their frames securely and follow the shipping instructions supplied.

Any responsibility for loss or damage during transport will be determined by the applicable law, the agreed shipping arrangements and the circumstances of the loss or damage.

4.7 Varifocal, Bifocal and Office Lenses

Some specialist lenses may require a period of visual adaptation.

The time needed varies between individuals and depends on factors including prescription changes, lens design, fitting and previous experience.

Customers experiencing difficulty should contact us as soon as reasonably possible.

We will review the concern and may check relevant prescription details, measurements and manufacturing specifications.

Where appropriate, we may recommend further assessment by the prescribing practitioner or another qualified optical professional.

Normal adaptation difficulties do not automatically establish a manufacturing fault or an entitlement to a change-of-mind refund.

However, customers retain all applicable statutory remedies where the lenses are faulty, incorrectly supplied, unsuitable because of a failure on our part or otherwise fail to comply with the contract.

4.8 Prescription Problems, Faults and Complaints

If you experience blurred vision, discomfort, visual disturbance or another problem with your supplied lenses, please contact:

info@bannaeyewear.com

Provide your order number, details of the concern and any relevant prescription information.

We may request supporting information or arrange an appropriate assessment to establish the cause.

Where an error or fault for which we are responsible is identified, we will provide the remedy required by applicable law.

Where the issue results from inaccurate customer-supplied information, an independently issued prescription or another matter for which we are not responsible, we will explain our findings and discuss available options.

Faults and reporting periods: Customers are encouraged to report any suspected fault as soon as reasonably possible after discovering it. A seven-day reporting period is not a condition of exercising statutory rights. All claims remain subject to the applicable legal requirements, remedies and time limits, including those under the Consumer Rights Act 2015 for UK purchases.

4.9 Professional and Regulatory Requirements

We reserve the right to decline or refer orders involving prescriptions, measurements or products that cannot safely or lawfully be supplied through our standard online ordering process.

Our online service does not replace a professional sight examination, diagnosis or clinical treatment.

Customers should seek advice from an appropriately qualified eye-care practitioner where a clinical assessment or specialist fitting is required.

Banna Eyewear remains responsible for complying with the legal requirements applicable to the products and services it supplies.

Nothing in this section excludes or restricts any statutory consumer right.

SECTION 5 – PRICES, PAYMENTS AND BILLING

Prices are displayed on our website in the currency selected or shown at checkout.

The amount payable for your order, including applicable taxes and delivery charges collected by us, will be presented before you complete your purchase.

Prices include VAT or other taxes where required by applicable law.

Additional customs duties, import taxes or charges may apply to international shipments. Where these are not included in the checkout price, we will provide the information required by law about their possible application and who is responsible for payment.

Currency conversion charges may be imposed by your payment provider.

Payments are processed through Shopify or other authorised payment providers.

You agree to supply accurate billing and payment information and confirm that you are authorised to use your selected payment method.

We may correct pricing errors before accepting an order. If an accepted order is affected by a pricing issue, we will contact you and seek an agreed resolution in accordance with applicable law.

Promotional offers and discounts are subject to the conditions clearly communicated with those offers.

SECTION 6 – SHIPPING AND DELIVERY

We deliver to the United Kingdom and selected international destinations, including countries within the European Union.

Available shipping methods, charges and estimated delivery times are displayed at checkout or in our Shipping Policy.

In-stock, non-customised products will normally be prepared for dispatch within the stated processing period.

Prescription glazing and other custom-made orders require additional manufacturing time, as explained in Section 4.

Delivery estimates are not guaranteed unless a specific delivery date has been expressly agreed.

We will comply with applicable legal obligations concerning delayed or failed deliveries.

For UK consumer purchases, goods normally remain at Banna Eyewear's risk until delivered into the physical possession of the customer or someone identified by the customer to receive them.

Where a customer independently arranges a carrier not offered by us, different statutory rules may apply.

International deliveries may be subject to customs inspections, import procedures and other requirements imposed by destination countries.

We will provide reasonable assistance if a parcel is lost, damaged or incorrectly delivered and will meet our obligations under applicable consumer law.

Please ensure that your shipping information is accurate and contact us promptly if you identify an error.

SECTION 7 – INTELLECTUAL PROPERTY

Unless otherwise stated, the content of bannaeyewear.com, including its design, text, photographs, graphics, logos and other original material, is owned by or licensed to Banna Eyewear or its respective rights holders.

This content is protected by applicable intellectual property laws.

You may view and use the website for lawful personal shopping and information purposes.

You must not reproduce, distribute, commercially exploit or otherwise use protected content without the permission of the relevant rights holder, except where permitted by law.

Third-party product names, brand names and trademarks remain the property of their respective owners.

Nothing in these Terms transfers intellectual property rights to website visitors or customers.

SECTION 8 – OPTIONAL TOOLS AND THIRD-PARTY SERVICES

Our website may provide optional features operated by third parties, including virtual try-on, prescription entry, measurement tools and payment services.

Certain tools may be subject to additional terms and privacy notices.

We take reasonable steps when selecting and integrating services used in connection with our business.

However, third-party tools may be affected by availability, technical limitations or interruptions outside our reasonable control.

Customers should follow the instructions supplied when using measurement or prescription-related tools.

Use of such tools does not remove our legal responsibilities for products and services supplied by Banna Eyewear.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

SECTION 9 – THIRD-PARTY LINKS

Our website may contain links to websites or services operated by independent third parties.

These links are provided for convenience or relevant information.

Unless expressly stated, inclusion of a link does not mean that Banna Eyewear controls or endorses the third-party website.

Third-party websites may operate under their own terms, policies and privacy practices.

We are not responsible for their independent content or activities where the law does not impose responsibility on us.

This section does not affect any responsibility we have in relation to products or services sold through our own store.

SECTION 10 – RELATIONSHIP WITH SHOPIFY

Our online store is hosted and supported by Shopify.

Shopify provides technology that enables us to display products, receive orders, process transactions and manage our website.

When you purchase a product from Banna Eyewear, your sales contract is with Banna Eyewear Ltd and not Shopify, unless expressly stated otherwise.

Banna Eyewear remains responsible for fulfilling its obligations as the seller, including applicable consumer protection requirements.

Use of certain Shopify features may also be governed by relevant Shopify terms and privacy information.

SECTION 11 – PRIVACY AND PERSONAL INFORMATION

We process personal information in accordance with applicable data protection legislation and our Privacy Policy.

Our Privacy Policy is available at:

https://bannaeyewear.com/policies/privacy-policy

Information processed in connection with orders may include contact details, billing and delivery information, purchase details, prescriptions and relevant optical measurements.

Prescription information may constitute sensitive health-related personal data and will be handled in accordance with applicable legal requirements.

We may share information with service providers, including our optical laboratory, where reasonably necessary to fulfil an order and where permitted by applicable law.

Further details about our lawful bases for processing, data retention, sharing practices and customers' rights are provided in our Privacy Policy.

Our use of Shopify and other service providers is also explained in that policy.

SECTION 12 – CUSTOMER FEEDBACK AND REVIEWS

Customers may voluntarily submit reviews, comments, photographs or feedback about their purchases.

By submitting content for publication, you confirm that you have the right to provide it and that it does not knowingly infringe another person's rights or contain unlawful or misleading material.

Where you voluntarily submit a review or content for publication, you grant Banna Eyewear a non-exclusive, royalty-free licence to display and use that content in connection with the operation and reasonable promotion of our business, subject to applicable law and any permissions or limitations agreed with you.

We will not knowingly publish private prescription or medical information supplied for order fulfilment without an appropriate lawful basis and, where required, consent.

We may moderate or remove reviews or content where reasonably necessary to address unlawful material, genuine security risks, personal information or breaches of applicable publication standards.

We will not manipulate genuine customer reviews in a misleading manner.

SECTION 13 – ERRORS, INACCURACIES AND OMISSIONS

We make reasonable efforts to ensure that the information on our website is accurate and up to date.

Occasionally, information may contain typographical errors or inaccuracies relating to product descriptions, specifications, availability, prices or promotions.

We may correct such information when an error is identified.

Corrections will not retrospectively remove or reduce statutory rights or permit us to impose material changes to an accepted consumer contract without a lawful basis.

Where an error affects an order, we will contact the customer and seek an appropriate resolution, including a refund where required.

SECTION 14 – PROHIBITED USES

You must not use our website:

  • For unlawful, fraudulent or deliberately misleading activities.

  • To infringe intellectual property or privacy rights.

  • To transmit malicious software or harmful code.

  • To interfere with the security or normal functioning of our website.

  • To impersonate another person or misrepresent your authority.

  • To attempt unauthorised access to accounts, systems or data.

  • To harass, threaten or abuse other people.

  • To use payment information without authorisation.

  • To circumvent lawful security restrictions or exploit technical vulnerabilities.

We may take reasonable and proportionate action to prevent misuse, including restricting access to affected accounts or features.

This section does not prohibit ordinary lawful browsing, accessibility technologies or conduct protected by applicable law.

SECTION 15 – AUTOMATED ACCESS AND AGENTS

Automated systems, including software agents, may interact with our website only in accordance with applicable law and our lawful technical access requirements.

Automated users must not attempt to bypass authentication, CAPTCHA systems, rate limits or other legitimate security measures.

We may apply reasonable technical restrictions to prevent excessive requests, unauthorised data extraction, fraud or interference with our services.

Automated systems must not falsely represent themselves as human users where accurate identification is required for security or lawful operation.

Nothing in this section prevents permitted search-engine access, accessibility tools, lawful consumer activity or any other access protected by applicable law.

We may restrict automated access that threatens website availability, security or customer data.

SECTION 16 – TERMINATION AND ACCOUNT RESTRICTIONS

You may stop using our website at any time.

We may suspend or restrict access where reasonably necessary because of fraud, unlawful conduct, security concerns or material breaches of these Terms.

Where appropriate, we will explain the reason for a restriction and provide an opportunity to resolve the concern.

Account restrictions or termination do not automatically cancel accepted purchase contracts or remove existing contractual obligations.

Any outstanding orders, refunds, complaints or statutory remedies will be handled in accordance with applicable law.

Provisions that reasonably need to continue after termination, including intellectual property, existing contractual obligations and lawful liability provisions, will remain applicable.

SECTION 17 – WARRANTIES AND WEBSITE AVAILABILITY

We aim to provide an accurate, secure and reliable website.

However, temporary interruptions, maintenance or technical errors may occasionally occur.

We do not guarantee that website access will be uninterrupted or entirely free from technical errors.

All goods and services supplied by Banna Eyewear remain subject to the legal guarantees and standards applicable to the purchase.

Nothing in these Terms excludes or restricts statutory rights concerning satisfactory quality, fitness for purpose, product descriptions, reasonable care and skill or other mandatory consumer protections.

Any separate commercial warranty will be provided in addition to, and not instead of, statutory rights.

SECTION 18 – LIMITATION OF LIABILITY

Banna Eyewear is responsible for loss or damage that is a foreseeable consequence of our breach of contract or failure to exercise reasonable care and skill, subject to applicable law.

We do not seek to exclude or restrict liability for:

  • Death or personal injury caused by negligence.

  • Fraud or fraudulent misrepresentation.

  • Breach of statutory consumer rights where liability cannot lawfully be excluded.

  • Failure to exercise reasonable care and skill where applicable law prohibits exclusion.

  • Any other liability that cannot lawfully be excluded or limited.

We are not responsible for losses that are not a foreseeable result of our breach or negligence, except where applicable law provides otherwise.

Products sold for ordinary personal or household use are not intended for business resale unless separately agreed.

Where goods are purchased for consumer purposes, any restrictions concerning commercial losses do not affect the customer's mandatory consumer rights.

Nothing in this section limits a customer's right to obtain an appropriate statutory remedy.

SECTION 19 – CUSTOMER RESPONSIBILITIES AND UNLAWFUL MISUSE

Customers are expected to use our website lawfully and provide accurate information when placing orders.

You must not intentionally misuse our systems, submit fraudulent orders or interfere with the rights of other users.

Where unlawful conduct causes Banna Eyewear a direct and legally recoverable loss, we may seek an appropriate remedy through applicable legal procedures.

Nothing in this section creates an unlimited obligation for customers to reimburse Banna Eyewear or third parties, or excludes protections provided by consumer law.

SECTION 20 – SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as ineffective to the extent necessary.

The remaining provisions will continue to apply so far as they can lawfully and fairly operate.

Any unenforceable provision will not be interpreted or replaced in a manner that reduces mandatory consumer protections.

SECTION 21 – ENTIRE AGREEMENT AND RELATED POLICIES

These Terms, together with the policies and information incorporated into the purchase contract, explain the agreement between Banna Eyewear and the customer.

Relevant policies include:

  • Return and Refund Policy.

  • Shipping Policy.

  • Privacy Policy.

  • Any expressly agreed product-specific conditions.

Information supplied before purchase and expressly forming part of the contract remains applicable.

Where there is an inconsistency between these Terms and mandatory consumer law, the mandatory legal requirement takes precedence.

Where our Terms and Return and Refund Policy appear inconsistent concerning a customer's cancellation, return or refund rights, they will be interpreted consistently with the customer's statutory rights.

Nothing in this section removes rights arising from representations or information that form part of the contract under applicable law.

SECTION 22 – ASSIGNMENT AND TRANSFER

Customers may not transfer their contractual obligations to another person without our agreement, except where applicable law permits.

We may transfer our rights or obligations to another business where lawful, provided the transfer does not materially reduce customers' contractual or statutory rights.

Where required by law, we will provide appropriate notification or obtain consent.

SECTION 23 – GOVERNING LAW AND CONSUMER RIGHTS

These Terms are governed by the laws of England and Wales.

However, where customers are entitled to mandatory protections under the laws of their country of residence, these Terms do not remove those protections.

Customers residing in the European Union retain applicable mandatory EU and national consumer rights.

Nothing in these Terms removes any right to bring legal proceedings in a court that has jurisdiction under applicable law.

We will comply with any mandatory dispute-resolution or consumer protection requirements applicable to a purchase.

SECTION 24 – HEADINGS AND INTERPRETATION

Section headings are provided for convenience and do not alter the meaning of these Terms.

References to legislation include applicable amendments and replacement legislation, where relevant.

Words in the singular may include the plural where the context requires.

These Terms will be interpreted fairly and consistently with applicable consumer protection law.

SECTION 25 – CHANGES TO THESE TERMS

We may update these Terms to reflect changes to our services, legal obligations, business operations or website features.

The current version will be available on our website, together with its revision date.

Changes will normally apply to future orders and future use of the website.

The terms applicable to an existing purchase will not be retrospectively changed to remove or reduce the customer's contractual or statutory rights.

Where applicable law requires notification or consent for a change, we will comply with those requirements.
